Terms of Use Protected File Manager

PrismaLife AG provides you with virtual data rooms via the web based Protected File Manager ("PFM") in accordance with these General Terms of Use.

Subject of regulation
- These Terms of Use regulate your use of the PFM.
- You will be entitled to use the PFM in accordance with these Terms of Use.
- Your access to the PFM is provided via the Internet. The provision of the Customer's hardware and software required to access the Internet and the Online Services is not regulated by these Terms of Use.

Provision and operation of the electronic infrastructure
- The hardware and software required for the operation of the PFM is provided by the PL.
- The PFM may only be used by authorised and duly registered users ("Authorised Users"). You may only designate as Users those persons who are entitled and authorised to use the PFM on your behalf and for your account.
- The persons you designate as users must be registered in accordance with the applicable procedures. The Authorised Users will be granted the necessary authorisation to use the PFM by an administration manager designated by PL.
- To ensure proper and secure access to the PFM, the Authorised User receives specific access data from the Administration Manager as part of the registration procedure. You have to ensure that the access data are not misused. Furthermore, you will ensure, by suitable contractual agreements with the Authorised Users designated by you, that they keep the access data provided to them secret and secure it against unauthorised access by third parties.
- You will inform the PL without delay if any of your designated users should have their authorisation to use the PFM revoked or if this authorisation should be restricted.
- Conditions of use

You will comply with the following provisions relating to the use of the PFM ("Terms of Use"). Furthermore, you will ensure by of suitable contractual agreements with the Authorised Users designated by you that they do not breach the Terms of Use either. The use of the PFM must not contradict legal regulations. In particular, you and the Authorised Users designated by you shall refrain from,
- sending or depositing data or software that may interrupt, restrict or destroy the functionality of PL's online services, hardware or telecommunication facilities or restrict or exclude the use of the PFM by other Authorised Users;
- molesting, threatening, insulting or coercing other Authorised Users or otherwise interfering with the use of the PFM by other Authorised Users;
- manipulating or sending or depositing data that infringes industrial property rights, including copyrights and trademark rights, or other rights of a third party
- Data protection
- Insofar as personal data is communicated, collected, processed or used within the framework of the use of Protected File Manager, PL will comply with the statutory provisions on data protection, in particular the Liechtenstein Data Protection Act (DSG).
- You shall ensure that the information and consent requirements under data protection law are fulfilled in relation to the content and information exchanged and to the Authorised Users designated by you.
- Confidentiality
- Unless otherwise contractually agreed, each party undertakes to keep secret for an unlimited period of time all information that has come to its knowledge and that is recognisable as business or trade secrets of the other party and not to record or pass on or otherwise exploit such information unless this is necessary to achieve the purpose of the contract.
- Each Party shall ensure by appropriate contractual agreements with the third parties acting on its behalf that such third parties shall also refrain from any unauthorised recording, disclosure or other use of the information referred to in Clause 5.1, unless otherwise agreed by contract.
- The parties are aware that the electronic transmission of information involves risks. The parties therefore agree that the use of electronic media for the exchange and transmission of information does not per se involve a breach of contractual or professional confidentiality obligations.
